1. Acceptance of Terms

By accessing or using ProAI ("Service"), operated by Bheem Technologies Pvt. Ltd. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ProAI is an AI-powered productivity platform providing autonomous AI agents for professionals including Accountants, Teachers, HR Professionals, Administrators, and Shop Owners. The Service includes but is not limited to:

  • AI-assisted document processing and generation
  • GST filing and tax compliance tools
  • Student/batch management for educators
  • HR management and payroll assistance
  • Inventory and billing management
  • WhatsApp, email, and SMS communication tools

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain multiple free accounts
  • You are responsible for all activities under your account

4. Subscription Plans and Billing

Free Trial

New users receive a 14-day free trial with 100 AI credits. No credit card required. Trial accounts have access to all features with usage limits.

Paid Subscriptions

  • Subscriptions are billed monthly in Indian Rupees (INR)
  • All prices are exclusive of 18% GST
  • Payment is processed via Razorpay
  • Subscriptions auto-renew unless cancelled

Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months or unused credits
  • Refund requests within 7 days of initial purchase may be considered

5. AI Credits and Usage

  • AI features consume credits based on complexity (see FEATURE_CREDIT_COSTS in documentation)
  • Unused credits do not roll over to the next month
  • Additional credit packs may be purchased
  • We reserve the right to modify credit costs with 30 days notice

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or to violate any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use the Service to send spam or unsolicited communications
  • Resell, sublicense, or redistribute the Service without authorization
  • Use automated tools to scrape or extract data from the Service
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity

7. Data and Content

Your Data

You retain ownership of all data you upload to ProAI. By using the Service, you grant us a limited license to process your data solely to provide the Service.

AI-Generated Content

Content generated by our AI agents is provided "as-is". You are responsible for reviewing and verifying AI outputs before use, especially for legal, financial, or compliance purposes.

8. Professional Disclaimer

Important Notice:

ProAI is a productivity tool and does not provide professional advice. AI-generated content (tax filings, legal documents, financial reports) should be reviewed by qualified professionals. We are not responsible for errors in AI outputs or decisions made based on them.

9. Intellectual Property

  • ProAI, including its design, features, and AI models, is owned by Bheem Technologies Pvt. Ltd.
  • You may not copy, modify, or create derivative works of our Service
  • Our trademarks and branding may not be used without permission

10. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We may modify or discontinue features with reasonable notice

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BHEEM TECHNOLOGIES PVT. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Bheem Technologies Pvt. Ltd. from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

  • You may terminate your account at any time through account settings
  • We may suspend or terminate accounts that violate these Terms
  • Upon termination, your data will be deleted within 30 days (unless legal retention applies)
  • You may request a data export before termination

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Bangalore, Karnataka.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
